ARTICLES OF THE CONSTITUTION OF THE ASSOCIATION

1. General provisions

1.1. The LITHUANIAN ASSOCIATION FOR ANALYTICAL PSYCHOLOGY (hereinafter referred to as the “Association”) shall be a non profit seeking legal person, uniting on the basis of voluntariness Lithuanian Jungian psychoanalysts and Jungian psychotherapists.

1.2. The Association shall hold bank accounts, its seal, which it may use at its own discretion, as well as an economic, financial, organisational and legal independence and carry out its activities in compliance with the Civil Code of the Republic of Lithuania, the Law of the Republic of Lithuania on Associations and other laws and regulatory enactments as well as these Articles of Association.

1.3. The Association shall be a legal person with limited civil liability. The Association shall be liable for performance of its obligations only to the extent of the assets belonging to it. The Association’s assets and funds shall be used to implement the goals and objectives provided for in the Articles of Association and cannot be distributed to the members of the Association in any form, save for the exceptions provided for in the legal acts of the Republic of Lithuania.

1.4. The Association shall operate in the entire territory of the Republic of Lithuania. The Association can enter into international organisations, the goals and activities whereof do not conflict with the Constitution and laws of the Republic of Lithuania.

1.5. The financial year of the Association shall be one calendar year.

1.6. The Association has been established for an unlimited period of time.
1.7.  The Association has legal form of association.
1.8. The title of the Association is “LITHUANIAN ASSOCIATION FOR ANALYTICAL PSYCHOLOGY”.

2. Goals, types and fields of activities of the Association

2.1. The main goals of the Association shall be the following:
2.1.1 Training of selected candidates, who wish to become qualified specialists of analytical psychology – Jungian Analysts - and thereby members of the International Association for Analytical Psychology (IAAP).
2.1.2. promotion of the development of the theory and practice of analytical psychology;
2.1.3. taking care of professional competencies and qualifications of the professionals of analytical psychology;
2.1.4. development of international relations, representation of members of the Association in the International Association for Analytical Psychology, co-operation with other Lithuanian and international organisations of analytical psychology and of the areas close to it;
2.1.5. bring to the general public the theory, practice, and main themes of analytical psychology in conferences, lectures, and cultural events.
2.1.6. representation of professionals of analytical psychology in various institutions.

2.2. With a view to implementing the abovementioned goals, the Association shall:

2.2.1. Organise and conduct a training program, and to that end:
- Establish an Admissions Committee, a Training Committee, an Ethics Committee, and an Ethics Appeals Committee;
- May establish other committees;
- Approve the tasks and regulations for the committees;
- May approve a training program, criteria and procedures of selection, evaluation, and training; code and procedures of ethics, and other documents that regulates the activities of the training program.
2.2.2. Issue a certificate of completion of the training program of analytical psychology for candidates who have successfully completed the training program. The certificate proves that the recipient is able to work as a Jungian analyst with adult clients.

2.2.3. organise and take part  in conferences and other events, relevant for the theory, practice, and research in analytical psychology;
2.2.4. promote and support the publishing of literature of analytical psychology;
2.2.5. support the study visits of its members to foreign institutions of science and education, business trips to international conferences and seminars;
2.2.6. co-operate with the mass media, state authorities, non-governmental organisations and other institutions in educating the public on the issues of psychology;
2.2.7. grant and receive charity and sponsorship;
2.2.8. take part in the development and accreditation of study programmes of analytical psychology.

2.3. In order to achieve its principal goals, the Association may engage in the following economic activities:
    58.11 Publishing of books;
    58.12 Publishing of directories, catalogues and address lists;
58.13 Publishing of newspapers;
    58.14 Publishing of journals and periodicals;
    58.19 Other publishing;
    72.20.20 Research and experimental development on social sciences;
    74.90 Other professional, scientific and technical activities n.e.c.;
    85.59 Other education n.e.c.;
    94.12 Activities of professional membership organisations;
    94.99 Activities of other membership organisations n.e.c.;
    74.30 Translation and interpretation activities;
59.11 Motion picture, video and television programme production activities.

2.4. With a view to achieving the goals indicated in these Articles of Association, the Association shall have the right to receive support in accordance with the procedure laid down by laws of the Republic of Lithuania.

3. Members of the Association. Rights and duties of members

3.1. Members of the Association.
3.1.1. Members of the Association shall be full members, in the activities of the Association also participate candidate members, associate members and honorary members; only natural persons can hold membership.
3.1.2. Only persons holding a qualification of Jungian psychoanalyst in Lithuania can become full members of the Association, if their qualifications are sufficient and they abide by the standards of professional ethics.
3.1.3. Jungian psychotherapists can become candidate members, if their qualifications are sufficient and they abide by the standards of professional ethics.
3.1.4. Persons with merits to the development of analytical psychology in Lithuania can be honorary members.
3.1.5. Only persons holding a qualification of Jungian psychotherapists can become associate members of the Association.

3.2. Full members of the Association shall have the following rights:
3.2.1. to participate in and vote at the General Meeting of Members of the Association;
3.2.2. to be elected and elect to the management bodies of the Association;
3.2.3. to make proposals regarding the activities of the Association;
3.2.4. to take part in the activities of the Association;
3.2.5. to support the Association by property and organisational means;
3.2.6. to make use of the information accumulated by the Association;
3.2.7 to access documents of the Association and obtain the entire information available to the Association concerning its activities;
3.2.8. to secede from the Association at any time; in this case, initial membership fees and membership fees or the funds and assets otherwise transferred into the ownership of the Association shall not be returned;
3.2.9. other rights specified in legal acts and the Articles of the Constitution of Association of the Association.

3.3. Honorary members, associate members and candidate members of the Association shall have the following rights:
3.3.1. to participate at the General Meeting of Members of the Association without a voting right;
3.3.2. to make proposals regarding the activities of the Association;
3.3.3. to take part in the activities of the Association;
3.3.4. to support the Association by property and organisational means;
3.3.5. to make use of the information accumulated by the Association;
3.3.6. to secede from the Association at any time; in this case, initial membership fees and membership fees or the funds and assets otherwise transferred into the ownership of the Association shall not be returned;
3.3.7. other rights specified in legal acts and the Articles of Association of the Association.

3.4. Full members, candidate members and associate members of the Association shall:
3.4.1. abide by the Articles of the Constitution of the Association;
3.4.2. abide by the professional ethics of the Association;
3.4.3. take good care of the material facilities of the Association and contribute to its development;
3.4.4. pay a membership fee under the procedure prescribed by the General Meeting of Members. Full members pay IAAP dues through LAAP.
3.5. Full members, associate members and candidate members of the Association shall have no property obligations to the Association, except for the membership fee, the amount whereof shall be determined by the General Meeting of Members. Their contributions shall be accounted for in the accounting documents of the Association.

4. Admission fees and membership fees. Procedure for and conditions of admission of new members, secession and exclusion of members

4.1. The amount of, procedure for paying and time limits of payment of admission fees and membership fees of full members, associate members and candidate members of the Association shall be determined by the General Meeting of Members by adopting an appropriate decision.
4.2. Only a natural person meeting the criteria indicated in paragraph 3.1 of the Articles of the Constitution may become a member of the Association.
4.3. A person willing to become a full member or a candidate member or an associate member of the Association must submit to the Council of the Association a written application for membership in the Association and written references of at least one current full member of the Association.
4.4. The Council shall ascertain whether the person willing to become a full member or a candidate member or an associate member of the Association meets professional and ethical requirements.
4.5. Where the person willing to become a full member or a candidate member or an associate member of the Association meets the professional and ethical requirements, the Council shall submit his candidacy for consideration at the General Meeting of Members.
4.6. The General Meeting of Members shall adopt a decision on the membership of the candidate in the Association by a 2/3 majority of votes.
4.7. The Council shall submit candidates to honorary members at its own initiative.
4.8. A decision on the admission of the honorary member shall be passed by the General Meeting of Members by a 2/3 majority of votes.
4.9. Membership in the Association shall terminate on the following grounds:
4.9.1. a member submits a written application for secession from the Association;
4.9.2. a member fails to perform the obligations defined in paragraph 3.4 hereof.
4.10. A decision on the termination of membership shall be passed by the General Meeting of Members.

5. Management of the Association

5.1. Bodies of the Association shall be the General Meeting of Members, the President and the Council.

5.2. The General Meeting of Members shall be the supreme body of the Association. The President shall be the single-person management body of the Association, and the Council shall be the collegial management body of the Association.

6. General Meeting of Members

6.1. The General Meeting of Members alone shall have the exclusive right:
6.1.1. to amend the Articles of the Constitution and of the Ethics Code of the Association;
6.1.2. to elect and dismiss members of the Council,  and the President of the Association;
6.1.3. to determine the amount of admission fees and the amount of membership fees of members of the Association as well as the procedure for paying them;
6.1.4. to approve the annual financial statements of the Association;
6.1.5. to adopt a decision on transformation of the Association or cessation of its activities (reorganisation or liquidation);
6.1.6. to exercise control of the use of funds and income, also of activities of the Association;
6.1.7. to approve a report on the activities of the Association for the previous financial year;
6.1.8. to decide on the admission to the Association and termination of membership therein;
6.1.9. to change the location of the registered office of the Association
6.1.10. to adopt other decisions which, according to these Articles of the Association or applicable laws, fall within the sphere of competence of the General Meeting of Members.
6.2.  A General Meeting establishes an Admissions Committee consisting of 3 members (including the Chair); a Training Committee consisting of 3 members (including the Chair); an Ethics Committee consisting of 3 members (including the Chair), and an Ethics Appeals Committee,consisting of 3 members (including the Chair); may establish other committees; approves the tasks and regulations for the committees.
6.3. A General Meeting approves a training program, criteria and procedures of selection, evaluation, and training; code and procedures of ethics and other documents that regulates the activities of the training program..

6.4. A regular general meeting of members must be convened annually not later than within 4 months from the close of the financial year. An extraordinary general meeting of members must be convened:

6.4.1. at a written request of more than 2/3 of members of the Association;
6.4.2. by a decision of the Council of the Association;
6.4.3. in other cases specified by laws.

6.5. A general meeting of members must be convened by a decision of the Council of the Association. A notice of convening the general meeting of members must be delivered to each member of the Association against his signature or sent by registered letter or announced in the daily “Respublika” not later than 10 (ten) calendar days prior to the day of the general meeting of members. Subject to written consent of all members, the general meeting of members may be convened not complying with the abovementioned procedure.

6.6. At a general meeting of members, full members of the Association shall have the right to vote. One member of the Association shall have one vote at the general meeting of members. Honorary members,  associate members and candidate members of the Association shall have the right to take part at the General Meeting of Members without a voting right.

6.7. The General Meeting of Members may adopt decisions when more than ½ of all full members of the Association participate in it. A decision of the General Meeting of Members, including a decision on the appointment or dismissal of the President of the Association, appointment and dismissal of members of the Council shall be considered as adopted where more votes of the members participating during the voting were cast “for” it than “against” it, with the exception of the decisions indicated in paragraphs 6.1.1 and 6.1.6 of these Articles of the Association, which require a qualified majority of votes of at least 2/3 of all full members participating in a meeting.

6.8. In the absence of quorum at a general meeting of members, a repeated general meeting of members shall be convened by a decision of the Council of the Association in accordance with the procedure laid down in paragraph 6.4. of these Articles of the Constitution, which shall have the right to adopt decisions on the issues on the agenda of the meeting which was not held irrespective of the number of members of the Association participating in the meeting.

6.9. The General Meeting of Members of the Association may be convened by a court’s decision in accordance with the procedure laid down by laws.

7. Council and Committees

7.1.The Council shall be a collegiate management body of the Association, composed of 5 (five) members: President, Secretary, Treasurer, Chair of Training, Chair of Admissions. Council members and from among them - the president, is appointed and dismissed by the decision of the general meeting of members for a period of four years. Positions of the members of the Council, except for the President, are imposed by the decision the Council itself. The President is a Chairman of the Council.

7.2. The Council of the Association shall:

7.2.1. adopt decisions on development of study programmes, establishment of the committee on ethics or other committees of the Association;

7.2.2. adopt decisions on the establishment of other legal persons or on the participation in other legal persons;

7.2.3. adopt decisions on the establishment of branches or representative offices of the Association or termination of activities thereof, appoint heads of the branches or representative offices, approve regulations of the branches or representative offices.

7.3. The Council may adopt decisions when more than ½ of members participate in a meeting of the Council. Decisions shall be adopted by simple majority of votes. When the number of votes is equal, President shall have the casting vote.

8. President

8.1. The President shall be a single-person management body of the Association elected by the General Meeting of Members and representing the Association in relations with third parties. The President of the Association shall be elected for a term of 4 (four) years. The President may be elected for two consecutive terms of office.

8.2. The President of the Association shall:

8.2.1. organise the work of the Council;

8.2.2. approve the list of the staff of the Association, determine the amount of remuneration of employees, adopt decisions on the recruitment and dismissal of as well as payment of bonuses to employees or amendment of the terms of employment contracts, also conclude employment contracts with employees in accordance with decisions taken by the Council;

8.2.3. enter into transactions on behalf of the Association in accordance with decisions taken by the Council;

8.2.4. announce meetings of the Council and propose the agenda of the meetings of the Council;

8.2.5. not later than 15 (fifteen) days prior to a regular General Meeting of Members, prepare a report on the activities of the Association and submit it to the General Meeting of Members;

8.2.6. announce or organise the announcement of public information;

8.2.7. organise voluntary work in accordance with the procedure laid down by the Government;

8.2.8. execute and/or organise the execution of decisions of the General Meeting of Members and/or the Council.

9. Procedure for using funds and income. Control of activities

9.1. The funds and income of the Association shall be used in accordance with these Articles of the Constitution of the Association and in compliance with requirements of applicable legislation.

9.2. The activities of the Association shall be subject to control by the General Meeting of Members, which shall verify and approve a report on the activities of the Association prepared by the President of the Association. Where activities of the Association are in contravention to these Articles of the Association and applicable legislation, the General Meeting of Members shall not approve the report on the activities of the Association prepared by the President of the Association.

10. Procedure for providing documents of the Association and other information

At a written request of a member, the Association must, not later than within 20 (twenty) working days from the receipt of the request, provide the member with access and/or provide copies of all documents of the Association.

11. Procedure for publishing notices and announcements

Where required by applicable laws of the Republic of Lithuania and these Articles of the Constitution of the Association, public notices and announcements of the Association shall be published in the daily “Respublika”.

12. Procedure for amending the Articles of the Constitution  of the Association

The Articles of the Constitution of the Association shall be amended by a decision of the General Meeting of Members adopted by the majority of votes of not less than 2/3 of members of the Association participating in a meeting. Amendments of the Articles of the Constitution of the Association shall enter into force from registration thereof with the Legal Persons’ Register.

13. Branches and representative offices of the Association

Decisions on the establishment of branches or representative offices of the Association or termination of activities thereof shall be adopted by the Council of the Association. The Council of the Association shall also appoint and dismiss heads of the branches and representative offices, consider and approve regulations of the branches and representative offices.

These Articles of the Constitution of the Association were approved and signed at the Extraordinary General Meeting of Members of June 2015.
